This license governs proprietary software and related materials developed and owned by Webium LLC ("Webium").
Unless expressly identified otherwise, Webium's platform software is not open-source software.
The following are considered Webium proprietary materials when developed or supplied by Webium:
All rights in these materials are retained by Webium LLC.
Authorized users may use the Webium platform in accordance with their applicable subscription, service agreement, terms of service, or other agreement with Webium LLC.
Access to Webium does not constitute a sale or transfer of ownership of the Webium platform or its underlying source code.
Unless Webium LLC has provided prior written authorization, no person or entity may:
Webium is designed to generate software for its customers.
Unless separate written terms applicable to a particular project provide otherwise, Webium LLC grants the customer full rights to use, copy, modify, deploy, host, transfer, sell, license, or discontinue use of application-specific source code generated by Webium for that customer's project.
Webium LLC does not require the customer to continue subscribing to Webium in order to operate customer-generated source code that has been exported or deployed to infrastructure controlled by that customer.
As between Webium LLC and the customer, the customer retains ownership of:
Customer ownership of generated applications does not include ownership of Webium's underlying technology.
Webium retains all rights in reusable technology that existed before the customer's project or that is used generally across multiple Webium projects, including:
A customer's application may use or communicate with such technology without transferring ownership of that technology to the customer.
Where Webium deploys an application into an account controlled directly by the customer, including third-party cloud infrastructure, the customer's relationship with that infrastructure provider is governed separately by the provider's terms.
Webium does not acquire ownership of the customer's third-party hosting account merely because Webium creates, configures, or deploys resources within it.
Software generated, deployed, or used through Webium may incorporate third-party open-source or proprietary components.
Those components remain subject to their respective licenses and terms.
Nothing in this license grants rights that Webium does not possess with respect to third-party software or services.
Except for the rights expressly granted in this license or another written agreement with Webium LLC, no copyright, patent, trademark, trade secret, or other intellectual-property rights are granted by implication, estoppel, or otherwise.
Non-public Webium source code, internal documentation, credentials, system designs, security mechanisms, infrastructure configurations, and other information identified or reasonably understood as confidential must not be disclosed to unauthorized third parties.
Copyright notices contained within Webium proprietary source files must not be removed.
Customer-generated source code does not need to display Webium branding or attribution unless the customer has separately agreed to such a requirement.
WEBIUM PROPRIETARY SOFTWARE IS PROVIDED SUBJECT TO THE WARRANTIES, IF ANY, EXPRESSLY STATED IN THE APPLICABLE AGREEMENT WITH WEBIUM LLC.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO ADDITIONAL WARRANTIES ARE CREATED BY THIS LICENSE.
All rights not expressly granted are reserved by Webium LLC.
